Terms of Use

Welcome to the Migraine Watch mobile application and related web services (the “Application”), operated by Wizermed DH Ltd. (“Company”, “we”, “our”, or “us”).

These Terms of Use (“Terms”) govern your access to and use of the Application and the services provided through it (collectively, the “Service”). By downloading, accessing, or using the Application or Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Application.

 

Relationship to Apple EULA: If you are using the Application on an Apple iOS device, these Terms incorporate the Apple Standard Licensed Application End User License Agreement (“Apple EULA”). In the event of any conflict between these Terms and the Apple EULA, the terms of the Apple EULA shall govern regarding your use of the App on Apple-branded products.

1. Eligibility & Account Registration

You must be 18 years or older and legally able to enter into binding agreements. You may use the Application with or without a smartwatch. While smartwatch data may enhance the accuracy and richness of provided insights, it is not mandatory. You agree to provide accurate and current information during registration and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

 

2. Subscriptions and Payments

2.1. Subscription Tiers. The Service offers "Migraine Watch Premium" available on a monthly basis ($19.99/month) or an annual basis ($119.99/year). Prices are subject to applicable taxes and may vary by region.

2.2. Free Trial & Auto-Renewal. New subscribers may be eligible for a 7-day free trial.

  • Automatic Conversion: Unless canceled at least 24 hours before the end of the trial, the trial will automatically convert into a paid subscription charged to your App Store Provider account (e.g., Apple ID or Google Play).

  • Continuous Billing: Subscriptions automatically renew at the end of each billing cycle unless auto-renew is turned off in your Account Settings at least 24 hours before the current period ends.

2.3. Legacy User Protection. Users who registered for Migraine Watch prior to the introduction of paid subscriptions ("Legacy Users") will receive a complimentary extension of premium features for a period of at least one year from the date of the transition to the paid model. After this period, Legacy Users may be required to select a paid plan to continue accessing premium features.

2.4. Platform-Specific Payments. Payments are processed through the App Store Provider from which you downloaded the Application.

  • iOS Users: Payments are handled exclusively via Apple In-App Purchases.

  • Android Users: Payment features may be inactive in current versions. Once activated, payments will be processed via Google Play Billing.

2.5. Cancellation and Refunds. You can manage or cancel your subscription at any time via your device's account settings. Refunds are governed by the policies of the respective App Store Provider (Apple or Google).

3. Description of the Service

The Application provides personalized insights, wellness guidance, and data-supported suggestions to help users better understand and manage migraine-related well-being. The Service may use data from your device and/or smartwatch, including but not limited to heart rate, sleep, stress, physical activity, motion sensors, and self-reported inputs. Insights may be delivered through the App interface, push notifications, chat, email, messages, or other channels.

 

4. Health & Wellness Disclaimer

 

The Application is not a medical device and does not provide medical diagnosis or treatment. The Service is for informational and self-management support purposes only. You should not rely solely on the Application to make medical decisions. Always consult a qualified healthcare professional for any medical concerns. In case of emergencies or distress (physical or mental), seek immediate medical attention.

 

5. Acceptable Use

You agree NOT to: use the Service for illegal, harmful, or abusive purposes ; attempt to reverse engineer, copy, or resell the Application or its content ; use automated tools or bots to extract data from the Service ; or upload or transmit defamatory, infringing, or unlawful content.

 

6. External Services & Third-Party Content

The Application may link to or suggest external services (e.g., music, mindfulness apps, activity platforms). We do not control or endorse such third-party services and are not responsible for their content, performance, or policies. You use them at your own discretion and responsibility.

 

7. Intellectual Property

All content, algorithms, data models, software, graphics, and branding within the Application are the exclusive property of the Company. You receive a limited, non-transferable, revocable license for personal, non-commercial use only. No copying, distribution, modification, or commercial use is permitted without prior written consent.

 

8. Limitation of Liability

To the maximum extent permitted by law, the Service is provided “as is” without warranties of any kind. The Company shall not be liable for any indirect, incidental, or consequential damages, including loss of data, health outcomes, or financial loss. Your sole remedy for dissatisfaction with the Service is to stop using it.

 

9. Indemnification

You agree to indemnify and hold harmless the Company and its representatives from any claims, damages, or losses arising from your misuse of the Service, your violation of these Terms, or your interaction with third-party services through the App.

 

10. Privacy & Security

We collect and process personal and sensor data according to our Privacy Policy. We use reasonable security measures, but no system is fully immune to risks. You acknowledge that data transmission over wireless networks carries inherent risks.

 

11. Changes to the Service & Terms

We may modify or discontinue any part of the Service at any time. We may update these Terms from time to time. Continued use after changes constitutes acceptance.

 

12. Governing Law & Dispute Resolution

These Terms will be governed by relevant laws based on your country of residence, unless otherwise required by mandatory consumer protection laws. The parties will first attempt to resolve disputes amicably before pursuing formal legal action.

 

13. Apple App Store Supplemental Terms
  • Acknowledgement: You and Wizermed DH Ltd. acknowledge that these Terms are concluded between you and Wizermed DH Ltd. only, and not with Apple, Inc. Wizermed DH Ltd., not Apple, is solely responsible for the Application and the content thereof.

  • Maintenance and Support: Wizermed DH Ltd. is solely responsible for providing any maintenance and support services with respect to the Application. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Application.

  • Warranty: Wizermed DH Ltd. is solely responsible for any product warranties, whether express or implied by law. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Application to you; and that, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever.

  • Product Claims: Wizermed DH Ltd., not Apple, is responsible for addressing any claims of the Licensee or any third party relating to the Licensed Application or the licensee’s possession and/or use of that Licensed Application.

  • Intellectual Property Rights: In the event of any third-party claim that the Application infringes that third party’s intellectual property rights, Wizermed DH Ltd., not Apple, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.
     

  • Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

  • Third Party Beneficiary: You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of the terms and conditions of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
